Terms and Conditions
These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between BC Global LLP, a company incorporated under the Companies Act, 2013 with its registered office at No.19/1, Chetan Tower, 3rd Floor, Infantry Road Cross, Bengaluru - 560001, India (“Company,” “we,” “our,” or “us”) and you (“Client,” “Customer,” “you,” or “your”) regarding your use of our business-expansion services and platform.
By engaging our services, accessing our website, or entering into any service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
1. Definitions and Interpretation
1.1 Definitions
- Services: All business setup, compliance, consulting, and related services provided by Better Compliance as described in our proposals, including (without limitation) company registration, office solutions, HR services, legal compliance, IT infrastructure, and business development support.
- Platform: Our proprietary online system, website, mobile applications, and digital interfaces through which Services are delivered and managed.
- Client Data: All information, documents, data, and materials provided by you or collected in the course of providing Services.
- Confidential Information: All proprietary, technical, business, and personal information disclosed by either party.
- Service Agreement: The specific agreement executed for individual service engagements, incorporating these Terms by reference.
- Intellectual Property: All patents, trademarks, copyrights, trade secrets, proprietary methodologies, and other intellectual property rights.
1.2 Interpretation
- References to “writing” include electronic communications.
- Headings are for convenience only and do not affect interpretation.
- Singular includes plural and vice versa.
- “Including” means “including without limitation.”
2. Scope of Services
2.1 Service Categories
- Company Setup Services: Incorporation, registrations, licensing, regulatory approvals.
- Compliance Services: Ongoing legal and regulatory compliance management.
- Office Solutions: Physical offices, virtual offices, facility management.
- HR and Payroll Services: Recruitment, employee management, payroll processing.
- Legal Services: Contract drafting, legal advisory, dispute-resolution support.
- IT Infrastructure: Technology setup, cybersecurity, digital payment integration.
- Business Development: Market research, partnership facilitation, growth consulting.
2.2 Service Delivery
- Services are provided per specifications in the applicable Service Agreement.
- Timelines are estimates and may vary based on regulatory requirements and third-party dependencies.
- We may engage qualified sub-contractors and service providers to fulfill obligations.
2.3 Service Modifications
- We may modify, suspend, or discontinue any Service with 30 days’ written notice.
- Material changes to ongoing Services will be communicated and may require amended agreements.
- You may terminate affected Services without penalty if you disagree with modifications.
3. Client Obligations and Responsibilities
3.1 Information and Documentation
- Provide accurate, complete, and current information required for service delivery.
- Submit all necessary documents and authorizations on time.
- Notify us promptly of changes to provided information.
- Ensure all information complies with applicable laws and regulations.
3.2 Cooperation and Communication
- Maintain regular communication through designated contact persons.
- Provide reasonable cooperation and access required for delivery.
- Respond to requests for information or clarification within agreed timeframes.
- Participate in necessary meetings, calls, and review sessions.
3.3 Compliance with Laws
- Comply with all applicable Indian and international laws and regulations.
- Obtain approvals and licenses necessary for your business operations.
- Maintain compliance with tax, employment, and regulatory requirements.
- Refrain from using our Services for unlawful or prohibited purposes.
4. Payment Terms and Billing
4.1 Fees and Charges
- Service fees are specified in Service Agreements (fixed, time-based, or subscription).
- Fees are exclusive of taxes, duties, and government charges unless explicitly stated.
- Out-of-scope services will be charged separately with your prior approval.
- Currency is INR unless otherwise specified.
4.2 Payment Schedule
- Advances may be required as specified in the Service Agreement.
- Monthly services are billed in advance on the first day of the billing cycle.
- Project-based services follow milestone-based schedules.
- Government fees, registrations, and third-party costs are payable in advance.
4.3 Late Payment and Default
- Payment is due within 30 days of invoice unless otherwise specified.
- Late payments incur interest at 2% per month or the maximum permitted by law.
- Services may be suspended after 15 days of default following written notice.
- Collection costs and reasonable legal fees for overdue accounts are payable by the defaulting party.
5. Intellectual Property Rights
5.1 Company Intellectual Property
- Our methodologies, processes, templates, systems, and Platform technology remain our exclusive property.
- You receive a limited, non-exclusive license to use the Platform solely for receiving Services.
- No rights are granted to modify, distribute, or create derivative works of our IP.
5.2 Client Intellectual Property
- You retain ownership of your pre-existing IP and Confidential Information.
- We may use Client Data solely to provide Services and as permitted by our Privacy Policy.
- Any improvements or derivative works created using your IP shall be jointly owned unless otherwise agreed in writing.
- We will not disclose or use your IP for any other client or purpose.
5.3 Work Product and Deliverables
- Completed deliverables become your property upon full payment.
- We retain rights to general methodologies and know-how developed.
- Reusable templates and standard forms may be used for other clients with confidential elements removed.
6. Confidentiality and Data Protection
6.1 Confidentiality Obligations
Both parties will:
- Maintain strict confidentiality of all Confidential Information.
- Use it solely for purposes of this Agreement.
- Implement safeguards to prevent unauthorized disclosure.
- Return or destroy Confidential Information upon termination, subject to legal retention obligations.
6.2 Data Protection Compliance
- We process personal data in accordance with our Data Protection Policy and applicable laws.
- Cross-border transfers comply with India’s Digital Personal Data Protection Act 2023 and other relevant frameworks.
- You consent to necessary processing for service delivery and regulatory compliance.
- Both parties will cooperate in responding to data-subject rights requests.
7. Limitation of Liability and Disclaimers
7.1 Service Disclaimers
- Services are provided “as is” without warranties beyond those required by law.
- We do not warrant specific outcomes, approval timelines, or regulatory decisions.
- Third-party dependencies (government approvals, partner services) are beyond our control.
- Force-majeure events may affect delivery.
7.2 Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim shall not exceed the fees paid for the specific Service giving rise to the claim.
- We are not liable for indirect, consequential, punitive, or special damages.
- These limitations apply regardless of the theory of liability (contract, tort, or otherwise).
- If any limitation is unenforceable in a jurisdiction, the remaining provisions remain effective.
7.3 Indemnification
- You agree to indemnify and hold us harmless from claims arising from your breach of these Terms or applicable laws.
- Third-party claims related to your operations or provided information.
- Regulatory penalties resulting from your non-compliance.
- Reasonable attorney fees and costs incurred in defending covered claims.
8. Term, Termination, and Survival
8.1 Agreement Term
- These Terms remain effective until terminated per this Section.
- Individual Service Agreements specify terms and renewal provisions.
- Ongoing services continue month-to-month unless terminated with proper notice.
- Fixed-term services automatically expire on their specified end dates.
8.2 Termination Rights
- Either party may terminate for convenience with 30 days’ written notice (subject to Service Agreement terms).
- Immediately for material breach after 15 days’ notice and opportunity to cure.
- Immediately if the other party becomes insolvent, files for bankruptcy, or ceases operations.
- As otherwise specified in the applicable Service Agreement.
8.3 Post-Termination Obligations
- All unpaid fees become immediately due upon termination.
- Each party returns or destroys the other’s Confidential Information.
- Provisions on liability, confidentiality, and IP survive termination.
- We will provide reasonable transition assistance for ongoing compliance matters.
9. Dispute Resolution and Governing Law
9.1 Governing Law
- These Terms are governed by the laws of India.
- The courts of Bengaluru, India have jurisdiction.
- The Indian Contract Act, 1872 and other applicable Indian laws apply.
- International conventions may apply to cross-border aspects as relevant.
9.2 Dispute Resolution Process
- Parties will first attempt to resolve disputes through good-faith negotiations.
- Failing that, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996.
- Seat/venue: Bengaluru. Tribunal: single arbitrator jointly appointed.
- Proceedings are confidential and conducted in English.
9.3 Interim Relief
- Either party may seek interim or injunctive relief from a competent court.
- Seeking interim relief does not waive arbitration for final resolution.
- Urgent regulatory matters may require immediate court intervention.
10. General Provisions
10.1 Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control, including:
- Acts of God, natural disasters, pandemics or public-health emergencies;
- Government actions, regulatory changes, legal prohibitions;
- War, terrorism, civil unrest;
- Infrastructure failures, cyber-attacks, or technology disruptions.
10.2 Assignment and Subcontracting
- You may not assign this Agreement without our prior written consent.
- We may assign to affiliates or successors with notice.
- We may engage qualified subcontractors while remaining responsible for their performance.
10.3 Modifications and Amendments
- We may update these Terms with 30 days’ notice posted on our website.
- Material changes affecting existing Service Agreements require written consent.
- Continued use after notice constitutes acceptance of modified Terms.
10.4 Severability and Waiver
- If any provision is unenforceable, the remainder stays in effect.
- Failure to enforce a provision is not a waiver of future enforcement.
- Waivers must be in writing and signed.
10.5 Entire Agreement
- These Terms and any executed Service Agreements constitute the complete agreement.
- They supersede prior negotiations, representations, and agreements on the subject.
- In case of conflict, the Service Agreement prevails.
11. Regulatory Compliance and International Considerations
11.1 Cross-Border Compliance
- Services involving international transactions comply with FEMA and related regulations.
- We assist with required filings and reporting for cross-border activities.
- Clients remain responsible for compliance with home-jurisdiction laws.
- AML and KYC requirements apply to all international transactions.
11.2 Industry-Specific Regulations
- Regulated sectors (e.g., financial services, healthcare, telecom) may require additional measures.
- Sector-specific licenses/approvals may be obtained via authorized partners and specialists.
- Ongoing monitoring ensures continued compliance with evolving regulations.
12. Technology and Platform Terms
12.1 Platform Access and Use
- Platform access is provided solely for receiving and managing Services.
- You are responsible for safeguarding login credentials.
- Unauthorized access attempts or suspected breaches must be reported immediately.
- We may suspend access for security reasons or violations of these Terms.
12.2 Data Security and Backup
- We implement industry-standard security measures to protect the Platform and Client Data.
- Regular backups are maintained; you are encouraged to keep independent records.
- System maintenance may require temporary interruptions with advance notice where practicable.

13.2 Notice Requirements
- Legal notices must be sent via registered post or email to the addresses above.
- Notices are deemed received when delivered personally, three (3) days after posting, or upon email delivery confirmation.
- Changes to contact information must be notified in writing within 15 days.
Acknowledgment
By engaging our services or using our Platform, you acknowledge that you have read these Terms and Conditions, understand their contents, and agree to be legally bound by all provisions. If you do not agree with any terms, please do not use our services and contact us to discuss alternatives.
